Article I: Name

The name of the club shall be the Las Vegas Marathon 21 Club, hereafter referred to as the LVM 21 Club or just "Club". This Club was founded in Jan 2006 after the running of the Inaugural 2005 New Las Vegas Marathon (LVM).

Article II: Goal

To run the LVM for a period of 21 consecutive years (until the year 2025) and to keep the family we have created alive and in touch as long as possible.

Article III: Affiliation

The LVM 21 Club is not affiliated with any other club, organization, or company. This includes, but is not limited to, "The New Las Vegas Marathon" and/or "Devine Racing, LLC".

Article IV: Membership

There are two (2) types of memberships offered by this club:

  • Legacy Member - One is a Legacy Member of the LVM 21 Club if the member completed the inaugural 2005 Las Vegas Marathon or was an Official volunteer for the inaugural 2005 LVM. The member must continue to participate for a total of 21 consecutive years. If the member does not participate in one of the year's events, he/she may remain in the club as a General Member.

  • General Member - One who wishes to join the LVM 21 Club but did not participate in the inaugural event. General Members are not eligible for club medals but may still participate in club events, meetings, etc.

Article V: Events/Meetings

The LVM 21 Club shall meet at least once a year after the completion of that year's LVM. The purpose of this meeting is to go over club business, hand out awards, socialize, and to overall celebrate the running of the LVM.

The elections meeting shall take place during the annual meeting, to be held after each year's LVM. The purpose of this meeting is to elect/re-elect the directors of the board and to name the president.

Article VI: Board of Directors

The management of this Club shall be vested in a Board of Directors consisting of four officers and four members.

The duties of the Directors shall be as follows:

  • Manage the business and property of the Club.

  • Control all funds and be custodians of all property, merchandise, and files. As a board, the Directors shall approve and allow the expenses of any Director or Member incurred by necessary club business such as telephone expenses, fees associated with the operation of the club's website, fees associated with the opening and/or maintaining of bank accounts, preparing and mailing notices or other official correspondence, and any other expenses that may be deemed necessary for club operations.

  • Periodically review the budget and annually fix amounts for dues and the LVM fund.

Officers:

  • President - The president's functions are to ensure the order of the club by maintaining and overseeing the functions, purpose, and planning of the club. The President will act as the official spokesperson for the club, chairperson of the board, liaison to new members, field questions about the club, and, with the recommendations of the board, appoint the other officers, committees and chairpersons thereof to help keep the club running smoothly.

  • Vice President - This position will aid the President in maintaining and overseeing the functions, purpose, and planning of the club, and to assume the powers of the president in his/her absence.

  • Treasurer/Membership Coordinator - This person is responsible for collecting the annual dues, has the authority to sign or disburse necessary appropriations as directed, keeping records of all of the clubs financials, and for keeping track of current member's participation in the LVM.

  • Secretary - will maintain records of all official club correspondence as well as helping to disseminate club information to the members.

Members at Large:

  • The remaining directors shall be responsible for participating in the decision making process of the Board.

Failure of any director to uphold the duties of their position are grounds for immediate termination.

Any director may be removed from the Board by a 2/3 vote of the registered members of the club.

At the discretion of the club's directors, various committees and event coordinators can be created as needed and will be strictly voluntary in nature. Examples of these are:

  • Events Coordinator - plan/arrange the post race party: location time, etc. This may possibly include a pre-race dinner.

  • Awards Committee - plan for and hand out awards at the annual meeting after the LVM.

Article VII: Criteria for Holding a Position on the Board of Directors

All positions are voluntary.

The term for a director shall be one (1) calendar year.

All individuals holding the position of director must be members of the LVM 21 Club, in good standing, and be elected by a majority vote by the members of the club voting at the elections meeting.

The elections meeting shall take place during the annual meeting, to be held after each year's LVM.

In the case of a resignation of a director, a special elections meeting may be held to fill the position until the next elections meeting.

All directors hold their position until the end of the calendar year.

There are no limitations to the number of terms that an individual may hold on the Board of Directors.

Article VIII: LVM 21 Club Medals

The LVM Club medals are used to honor those Legacy Members who meet the LVM 21 Club goals. Qualifying for a medal is based on meeting the criteria defined for the medal and having been a Legacy Member of The LVM 21 Club for at least one full year prior to qualifying for the medal. In order to receive accolades and a medal for 21 consecutive marathons, a person must be a Legacy Member of the club in good standing for each year being counted.

Medal Status Levels - these categories are defined by the LVM 21 Club Board of Directors and are completely independent to any subsequent legacy categories set by Devine Racing or any future owners of the Las Vegas Marathon. Any changes made to these categories must be approved by a majority vote of the Board of Directors AND 2/3rds vote of the voting members in the LVM 21 Club. The term "official volunteer" refers to signing up to volunteer in some capacity with Devine Racing or any subsequent race company that may own the Las Vegas marathon.

  • Gold Medal - To obtain a Gold Medal and be a Legacy Runner of the LVM 21 Club one must enter, start and complete (via running, walking or wheelchair) twenty-one consecutive Las Vegas Marathons beginning with the inaugural 2005 race.

  • Silver Medal - To obtain a Silver Medal the member must have been an official finisher in the inaugural 2005 marathon OR an official race volunteer at the inaugural 2005 marathon. For the subsequent years one must complete a total of 21 full marathons (may be non-consecutive) as well as enter and start either the full or ½ marathon, or be an official race volunteer.

  • Bronze Medal - To obtain a Bronze Medal the member must have participated in 21 years of any combination of the following: official volunteering, starting the ½ or full marathon.

All medals will be presented at the 2025 LVM Club annual meeting. These medals are largely symbolic and may be consist of real medals or a certificate to represent a "virtual" medal, depending on the budget available.

A Legacy Member's progress towards achieving a medal will be referred to as having "OnTrack Status". This means that a member is in the process of maintaining his/her commitment to the 21 race goal. Legacy Members will maintain that status until he/she either finishes the 21 consecutive races or misses a race and thus is rendered inactive.

In an effort to take into account for injury or other circumstances, Legacy Members may maintain their "On Track" status by running/walking or volunteering at the LVM. Official participation in either way will maintain their status of 21 consecutive events. The appropriate medal level will be given based on level of participation.

Article IX: Club Dues

A membership fee (dues) will be assessed on an annual basis at the beginning of each year following the 2005 marathon. Once dues are paid they are the property of the LVM 21 Club and there will be no refund if a member is chooses to drop out at any point. Forfeiture of all dues occurs if one should discontinue membership.

The amount of the dues shall be at the discretion of the club's Board of Directors and shall be re-evaluated each year to ensure that the club has enough funding to achieve the goals of the club.

Club dues will be used to fund:

  • the overall operation of the club
  • the annual post-race meeting and celebration
  • the 2025 celebration

Each year a percentage of the dues shall be placed into a "2025 fund" for use in the 2025 celebration. This percentage shall be determined by the club's Board of Directors and will be no less than 25 percent.

If a person chooses to join the LVM 21 Club as a Legacy Member and can prove participation in all past LVMs starting with the inaugural marathon, he/she may join after paying "back dues" equivalent to the amount of money each other Legacy Member has placed into the "2025 Fund".

This is a non-profit organization. Dues and other monies received by the club will be spent entirely for carrying out the stated purpose of the club.

Article X: Dissolution

Upon dissolution of the club, the net assets of the club shall not inure to the benefit of any private individual or corporation but shall be distributed to one or more organizations organized and operated exclusively for charitable, educational, or other purposes as shall be the time qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code, as determined by the Board.

Article XI: Amendments to the LVM 21 Club Charter

Any changes to the LVM 21 Club Charter must be approved with both a majority vote of the Board of Directors as well as a 2/3rds majority of the voting members of the LVM 21 Club.
